1. Agreement and eligibility

These Terms of Service ("Terms") are an agreement between you and QuietRecap. They apply to the QuietRecap website, desktop application, APIs, and related services (the "Service"). By creating an account, installing the desktop application, or using the Service, you agree to these Terms and our Privacy Policy.

You must be at least 18 and legally able to enter into this agreement. If you use QuietRecap for an organization, you confirm that you have authority to bind that organization, and "you" includes the organization.

2. Accounts and workspaces

You must provide accurate account information, protect your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity under your account unless caused by QuietRecap's breach of these Terms.

Workspace administrators can invite and remove members, assign roles, manage shared integrations, and control access to workspace-visible meetings. Your organization's administrator may be able to access or manage content you place in its workspace.

3. The Service

QuietRecap can detect supported meetings, capture audio with device permission, upload recordings, generate transcripts and summaries, identify speakers, extract action items, send recaps, and synchronize authorized integrations. Features may vary by operating system, plan, provider availability, and configuration.

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for lawful internal, personal, or business purposes during the term of your account.

4. Recording notice and consent

You are solely responsible for deciding when to record and for complying with all laws, workplace rules, platform terms, confidentiality duties, and contractual restrictions that apply to a meeting. Recording-consent requirements differ by country and region.

Before using QuietRecap in a meeting, you must provide any required notice and obtain consent from every participant when required. You must stop or avoid recording if consent is refused or you otherwise lack authority. QuietRecap does not provide legal advice about whether a particular recording is lawful.

5. Your content

You retain ownership of audio, transcripts, summaries, action items, notes, and other content you submit to or create through the Service ("Your Content"). You grant QuietRecap a limited license to host, copy, transmit, transform, and process Your Content only as needed to provide, secure, support, and improve the operation of the Service.

You confirm that you have the rights and permissions needed to provide Your Content and allow this processing. You are responsible for reviewing sharing settings and recipients before making meeting content available to another person or integration.

6. AI-generated output

Transcripts, summaries, speaker labels, decisions, and action items are generated with automated systems and may be incomplete, inaccurate, or attributed to the wrong person. You must review output before relying on it, sharing it, assigning work, making employment decisions, or using it for legal, medical, financial, safety-critical, or other high-impact purposes.

You remain responsible for decisions and communications based on generated output.

7. Third-party services

The Service may connect to calendars, Asana, Slack, billing, email, transcription, artificial-intelligence, and infrastructure providers. Your use of a third-party service remains subject to that provider's terms and privacy practices.

We are not responsible for third-party changes, outages, account restrictions, or content after it has been exported from QuietRecap. You can disconnect supported integrations through the Service, but you may need to delete exported content directly with the provider.

8. Plans, trials, and billing

Some features require a paid plan. Prices, included usage, and billing frequency are shown before purchase. Unless stated otherwise at checkout, subscriptions renew automatically until canceled. You authorize our billing provider to charge the selected payment method for recurring fees and applicable taxes.

You may cancel through the billing controls available in the Service. Cancellation stops future renewal and does not normally refund charges already incurred, except where required by law or expressly stated at purchase. We may change pricing with advance notice that takes effect at a future renewal.

9. Acceptable use

You must not use the Service to:

  • Record, monitor, impersonate, harass, discriminate against, or surveil another person unlawfully.
  • Process content you lack permission to use or that infringes privacy, confidentiality, intellectual-property, or other rights.
  • Distribute malware, attempt unauthorized access, probe security, bypass limits, or interfere with the Service.
  • Resell, sublicense, reverse engineer, scrape, or automate access except through interfaces we expressly provide or as applicable law permits.
  • Use the Service for unlawful, fraudulent, abusive, or deceptive conduct.

We may investigate suspected violations and take proportionate action to protect users and the Service.

10. QuietRecap ownership

QuietRecap and its licensors own the Service, software, visual design, branding, documentation, and underlying technology, excluding Your Content. No rights are granted except the limited right to use the Service under these Terms.

If you provide feedback, you permit us to use it without restriction or payment, provided we do not identify you publicly without permission.

11. Availability and changes

We aim to operate a reliable Service, but availability depends on networks, devices, meeting platforms, and third-party providers. We may maintain, modify, add, limit, or discontinue features. When reasonably possible, we will give notice of a material change that significantly reduces paid functionality.

12. Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for a material breach, unlawful use, security risk, unpaid charges, or conduct that threatens users or the Service. Where practical, we will provide notice and an opportunity to cure.

After termination, your right to use the Service ends. Provisions that by their nature should survive will remain effective, including ownership, disclaimers, liability limits, and governing law. Data deletion follows the Privacy Policy and applicable legal obligations.

13. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available." We disclaim implied warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

14. Limitation of liability

To the maximum extent permitted by law, QuietRecap will not be liable for indirect, incidental, special, consequential, exemplary, or punitive loss, or for lost profits, revenue, business, goodwill, or data arising from the Service.

QuietRecap's total liability for claims arising from the Service will not exceed the greater of the fees you paid to QuietRecap during the 12 months before the event giving rise to the claim or US$100. These limits do not apply where liability cannot legally be limited, including liability resulting from fraud or willful misconduct.

15. Governing law and disputes

These Terms are governed by the laws of the Republic of South Africa, without regard to conflict-of-law principles. Courts with jurisdiction in South Africa will have exclusive jurisdiction, unless applicable consumer law gives you the right to bring a claim elsewhere.

Before filing a formal claim, you agree to contact us and attempt to resolve the dispute informally for at least 30 days.

16. Changes and contact

We may update these Terms. We will post revised Terms here and provide additional notice when a material change affects existing users. Continued use after the effective date of revised Terms means you accept them, except where law requires express consent.
